Terms and Conditions
These Terms and Conditions govern the web design, development, redesign, UX/UI design, SEO, AI integration and automation services (the Services) provided by Apture Studio. The Services are primarily intended for businesses. By accepting an offer, the Client agrees to these Terms, which form an integral part of every individual agreement.

2. Definitions
- Client: the business, organisation or person ordering the Services.
- Offer: the individual written proposal describing the scope, deliverables, fee, schedule and payment terms of a project.
- Deliverables: the designs, websites, source code, content, automations and other results created for the Client under the agreement.
3. Offers and formation of the agreement
Prices shown on the website are indicative starting prices and do not constitute a binding offer. Anything advertised or shared on the website or on social media, including prices, packages, promotions and examples, is for general information only, is subject to change without notice and is not a direct offer. The agreement is formed when the Client accepts the Offer in writing, including by e-mail. If the Offer and these Terms conflict, the Offer prevails.
The agreement is concluded electronically, is not filed as a separate document, refers to no code of conduct and is available to the parties by e-mail. The contract language is Hungarian or English.
4. Fees and payment
- Fees, currency (EUR or HUF), payment schedule and any advance payment are set out in the Offer.
- The Service Provider is exempt from charging VAT under the Hungarian small business tax exemption (alanyi adómentesség). If this exemption ceases, VAT at the rate then in force will be added.
- Fees are payable by bank transfer against an electronic invoice by the due date shown on it.
- For late payment, statutory default interest and, between businesses, the statutory recovery-cost lump sum may be charged. The Service Provider may pause work while an invoice is more than 15 days overdue.
- Third-party costs such as domains, hosting, paid plugins, stock images, API or AI usage are borne by the Client unless the Offer states otherwise.
5. Client obligations
- Provide the content, materials, access rights and feedback needed for the project on time.
- Ensure that it has the right to use all materials it supplies (texts, images, logos, data) and indemnify the Service Provider against third-party claims arising from them.
- Designate a contact person who can make decisions on the Client's behalf.
- Delays caused by late materials or feedback extend the schedule accordingly.
6. Delivery, revisions and acceptance
The number of revision rounds included is set out in the Offer; further changes are charged at the agreed hourly rate or under a supplementary offer.
The Client reviews each deliverable within the period set in the Offer or, if none is set, within 8 business days, and reports any defects in writing. If no objection is received within that period, or the deliverable is put into live use, it is deemed accepted.
7. Intellectual property
- After full payment, the Client receives a non-exclusive, perpetual and worldwide right to use, modify and publish the Deliverables for the purpose defined in the agreement. Exclusive rights or a full transfer of rights require an explicit agreement.
- The Service Provider retains its rights to pre-existing tools, code libraries, components, templates and know-how, and grants the Client the right to use them as part of the Deliverables.
- Open-source components remain subject to their own licences.
- Until full payment, all rights remain with the Service Provider.
- Unless the Client objects in writing, the Service Provider may present the completed work, the Client's name and logo in its portfolio and marketing materials.
8. Third-party services and AI
Websites and automations may rely on third-party services (e.g. hosting, domain registrars, CMS, e-mail, calendars, payment providers, AI models). Their use is subject to the providers' own terms and fees, and the Service Provider is not liable for their outages or changes.
AI-generated outputs may be inaccurate or incomplete. The Client is responsible for reviewing content and responses produced by AI features before relying on them.
9. Warranty and support
The Service Provider fixes, free of charge, defects in the Deliverables that are reported within 30 days after acceptance and are attributable to the Service Provider. Defects caused by changes made by the Client or third parties, third-party services, or browser and platform updates are not covered. Ongoing maintenance, hosting management and support are provided under a separate agreement.
10. Limitation of liability
The Service Provider is liable for proven direct damage caused by its breach of contract. Except where liability cannot be limited by law (in particular intentional or grossly negligent conduct and harm to life, physical integrity or health), liability for lost profit, lost revenue, lost data and indirect or consequential damage is excluded, and total liability is limited to the fee paid under the agreement concerned. The fees reflect this limitation, within the limits of Sections 6:152 and 6:526 of the Hungarian Civil Code.
11. Confidentiality and data protection
Both parties keep business secrets and confidential information learned during the cooperation confidential, and use them only for the purpose of the agreement. This obligation survives termination.
Personal data is processed according to the Privacy Policy. Where the Service Provider processes personal data on the Client's behalf (for example contact forms or automations), it acts as a processor, and the parties agree on processing terms in accordance with Article 28 GDPR.
12. Termination
- Either party may terminate the agreement in writing. In this case the Client pays for the work performed and costs incurred up to the date of termination; advance payments covering work already performed are not refunded.
- Either party may terminate with immediate effect if the other party materially breaches the agreement and does not remedy the breach within 15 days after written notice.
13. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, network or cloud provider outages. The affected party must notify the other promptly.
14. Consumers
If, exceptionally, a natural person acting outside their trade or profession orders a Service, the consumer protection rules of Hungarian Government Decree 45/2014 (II. 26.) apply, including the 14-day right of withdrawal. If the consumer expressly requests performance to begin within the withdrawal period, they must pay a proportionate amount for the work performed until withdrawal; once the Service has been fully performed with their express consent, the right of withdrawal is lost. Consumers may turn to the competent consumer protection authority or the conciliation board of their place of residence (bekeltetes.hu).
15. Complaints
Complaints may be submitted to hello@apture.studio. We respond to written complaints within 30 days.
16. Governing law and changes
Hungarian law governs these Terms, in particular Act V of 2013 on the Civil Code and Act CVIII of 2001 on electronic commerce services. The parties first try to settle disputes by negotiation; for business-to-business disputes, the court competent for the Service Provider's registered office has jurisdiction, unless prohibited by law.
The Service Provider may amend these Terms. Amendments apply to agreements concluded after their publication; ongoing agreements are governed by the version accepted when the agreement was formed. If any provision is invalid, the remaining provisions remain effective.
